Terms & Conditions

These Terms of Service (“Terms”) are a legally binding agreement between you (“You” or “Customer”) and StageChain (“StageChain”, “we”, “us”, or “our”), governing your use of StageChain’s websites, services, and applications, including but not limited to StageChain.io, documentation hosted on GitBook, future mobile applications, and backoffice functionality (collectively, the “Services”).

 

By accessing or using the Services, you agree to be bound by these Terms. If you are entering into these Terms on behalf of an organization, you represent and warrant that you have the authority to bind that organization.

1. Terms

"Customer" or "you" means the individual or legal entity that registers for, accesses, or uses the Services provided by StageChain.


"User" means any individual or entity, such as a fan or attendee, that interacts with the Services through your implementation, including those who register for events, create accounts, or undergo identity verification.


"Organization" refers to a distinct tenant entity within the StageChain platform to which a Customer account is linked. Each Organization may manage its own end users, configurations, and data.


"Services" means all digital features, websites, tools, mobile and web applications, APIs, SDKs, technical documentation (including GitBook), backoffice modules, and support materials made available by StageChain, whether as part of a free trial or demonstration phase.


"Order Form" means a separate document or agreement that sets out commercial terms between StageChain and a Customer, including fees, usage limits, and specific paid features, where applicable.


"Terms" refers to these Terms of Service that govern free or trial use of the Services, as updated from time to time.

2. Services overview

StageChain offers a decentralized, multi-tenant platform that enables event organizers (“Organizations”) to manage user engagement, identity verification, ticket issuance, and integration with third-party ticketing systems.
 

The Services covered by these Terms include our homepage (stagechain.io), the documentation, also referred to as GitBook, whitepapers, and technical resources, forthcoming applications for Android and iOS, and a back office for our application. 
 

Where StageChain processes your personal data of your personnel, employees or users, such processing shall be governed by the terms described in the StageChain Privacy Policy and supported by any additional privacy-related agreements or arrangements applicable to your use of the Services.
 

You consent to receiving electronic communications from StageChain, including legal notices, via the email address associated with your account or through the Services. These communications satisfy any legal requirement that such communications be in writing.

   2.1 Provision of Services

StageChain will:
 

(a) provide access to its Services, the documentation site, mobile apps, and organization-specific backoffice functionality in accordance with these Terms and relevant documentation;

(b) maintain appropriate technical and organizational safeguards following the market practice and set in accordance with the sensitivity of information processed;

(c) use commercially reasonable efforts to identify and prevent the introduction of malicious code within the platform;

(d) make commercially reasonable efforts to provide support for platform access, including documentation, onboarding guidance, and organizational configuration tools.

   2.2 Customer responsibilities

As a Customer (e.g., an event organizer or ticket issuer), you are responsible for:
 

(a) all activity under your organization’s account, including all actions made by your admins and users;
(b) using the Services solely for legitimate, non-abusive purposes related to user engagement, ticketing, and identity verification;

(c) not sublicensing, reselling, or offering the Services as a standalone product to third parties unless explicitly authorized by StageChain, except where Services are offered to your users or end users as part of your offerings;

(d) bearing your responsibility for organization-specific data settings (e.g., mandatory identity fields, verification settings, retention policies) in accordance with applicable data protection laws;

(e) ensuring your users’ data is collected, stored, and processed lawfully and transparently, including any required disclosures or consents under applicable data protection laws or similar frameworks;

(f) taking reasonable measures to prevent unauthorized access to your organizational admin interface and reporting any suspected breach immediately to StageChain; and

(g) cooperating with any lawful requests related to your use of the Services, including those from regulators, auditors, or identity verification providers.


You are solely responsible for your users’ activities within your organization’s environment and their compliance with applicable law.

   2.3 Acceptable use 

You agree not to use the Services in any way that violates applicable law or infringes on the rights of others. Prohibited uses include, but are not limited to, transmitting spam or malware, engaging in scraping, probing, or denial-of-service attacks, infringing intellectual property, or using the Services for surveillance or harassment purposes. StageChain reserves the right to investigate and suspend accounts involved in such conduct.

   2.4 Suspension of Services

StageChain may suspend or restrict your access to some or all Services if, in our reasonable judgment:
 

(a) you or your end users violate these Terms or applicable laws;

(b) your usage volume, structure, or traffic pattern suggests potential abuse, fraud, or risk to the security or stability of the Services;

(c) was required by applicable laws, court orders, or regulatory obligations;

(d) you or your end users’ actions compromise the security or operational integrity of the platform or other customers; or

(e) any material information you have provided (e.g., organization details, contact info) is false, incomplete, or misleading.
 

We will make reasonable efforts to notify you before or promptly after suspension, depending on the urgency and risk involved

3. Beta and demonstration features

STAGECHAIN MAY PROVIDE ACCESS TO CERTAIN FEATURES, ENVIRONMENTS, OR COMPONENTS OF THE SERVICES (INCLUDING BUT NOT LIMITED TO THE BACKOFFICE) THAT ARE DESIGNATED AS BETA, DEMO, OR NOT GENERALLY AVAILABLE. SUCH FEATURES ARE PROVIDED "AS IS" FOR TESTING, EVALUATION, OR DEMONSTRATION PURPOSES ONLY. THEY MAY BE INCOMPLETE, UNSTABLE, OR SUBJECT TO CHANGE WITHOUT NOTICE. STAGECHAIN MAKES NO REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE PERFORMANCE, AVAILABILITY, SECURITY, OR FUNCTIONALITY OF THESE FEATURES. USE OF BETA OR DEMONSTRATION FEATURES IS AT YOUR SOLE RISK, AND STAGECHAIN MAY MODIFY, SUSPEND, OR DISCONTINUE SUCH FEATURES AT ANY TIME IN ITS SOLE DISCRETION.

4. Fees and payment terms

Paid plans or transactional services (e.g., ticketing integrations, fan account tools, identity verification APIs), the applicable fees and payment terms are subject to the Order Form, agreement between the parties, and the rate schedule subject to it. If payment is not received by the due date, StageChain may suspend access to the applicable Services until outstanding amounts are paid.
 

Any additional rights, remedies, or consequences related to late or non-payment, including interest, recovery costs, or termination, will be governed by the applicable commercial agreement or order form between you and StageChain.
 

StageChain may offer free trials or freemium access tiers from time to time. Such access is provided at StageChain’s sole discretion and may be modified or discontinued at any time without notice. Any usage beyond the limits of the free tier may result in automatic billing or service restriction.

5. Intellectual property rights

Except for the limited rights expressly granted to you in these Terms, StageChain retains all right, title, and interest in and to the Services, including but not limited to:
 

(a) the StageChain platform, source code, software, APIs, SDKs, mobile applications, and documentation;

(b) user interfaces, workflows, system designs, data models, templates, and configurations;

(c) all StageChain trademarks, logos, branding, and domain names;

(d) any enhancements, derivative works, feedback, or improvements to the foregoing.
 

No rights are granted to you other than as expressly set forth in these Terms.

   5.1 License to use the Services

Subject to your continued compliance with these Terms, StageChain grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services solely for your internal business purposes and solely as enabled through the user interfaces or APIs provided.

You may permit your authorized end users (e.g., your users or organization administrators) to access and use the Services under your account, provided they comply with these Terms.

   5.2 Restrictions

You agree to prevent your users, admins, and personnel from engaging in the following activities regarding the Services:
 

(a) copying, modifying, distributing, renting, leasing, selling, sublicensing, or transferring the Services or any part thereof;

(b) reverse engineering, decompiling, disassembling, or attempting to discover the source code, underlying structure, ideas, or algorithms of the Services; 

(c) using the Services to develop competing or derivative products;

(d) removing, obscuring, or altering any proprietary notices or branding associated with the Services;

(e) framing or mirroring the Services without our prior written consent.


Any unauthorized use or attempted exploitation of StageChain’s intellectual property may lead to the termination of this Terms and potential legal action.

6. Mutual warranties

Each party confirms that it has the legal authority to enter into and comply with these Terms. Both you and StageChain agree to use the Services in accordance with all applicable laws and regulations.
 

By accessing or using the Services, you assert that you have obtained all necessary rights and permissions to submit any data, whether personal or organizational, through the platform. You acknowledge that you are solely responsible for ensuring that your collection and processing of personal data via StageChain complies with applicable data protection laws, including but not limited to the General Data Protection Regulation (GDPR). This responsibility includes confirming a valid legal basis for any personal data you process, store, or request from end users. If your organization enables identity or age verification, it is your obligation to ensure that these processes meet all legal and regulatory requirements.
 

StageChain makes no warranties or guarantees of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or continuous availability. StageChain does not guarantee that the Services will be uninterrupted, secure, error-free, or that any specific functionality will meet your business needs or regulatory obligations.
 

In particular, StageChain makes no representations regarding the completeness, accuracy, or compliance of any identity verification functionality, crypto wallet integration, or analytics features. Your use of these tools is at your own risk, and you remain responsible for how you implement and rely on them.
 

You agree that it is your responsibility to ensure that your use of the Services, including your interactions with end users and the way you configure personal data collection, complies with applicable consumer protection, marketing, and privacy laws. StageChain disclaims any liability for your specific legal obligations or your use of the Services in a regulated environment.

7. Limitation of liability

To the maximum extent permitted by law, StageChain shall not be liable to you or any third party for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of revenue, profits, goodwill, data, or business opportunities, whether foreseeable or not, and whether arising under contract, tort (including negligence), statute, or otherwise, even if StageChain has been advised of the possibility of such damages.
 

StageChain’s total aggregate liability arising out of or related to your use of the Services, whether in contract, tort, or under any other theory of liability, shall not exceed the greater of: (a) the total amount paid by you to StageChain for access to the Services in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred euros (€100), if no such payments have been made.
 

You acknowledge that StageChain provides a configurable platform that enables organizations to control how data is collected, stored, and processed. As such, StageChain shall not be held responsible for any damages or liabilities arising from your organization’s configuration choices, content, end user actions, or failure to comply with applicable laws.
 

These limitations and exclusions apply regardless of the form of action or theory of recovery and are fundamental elements of the basis on which StageChain makes the Services available. Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so some of the above limitations may not apply to you.

8. Indemnification

You agree to indemnify, defend, and hold harmless StageChain, its affiliates, officers, directors, employees, and agents from and against any claims, demands, suits, proceedings, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) brought by your users and employees, to the extent such claims arise from or relate to:
 

  • your use of the Services in violation of these Terms or applicable law;

  • your organization’s configuration of the Services, including how you collect, process, store, or disclose personal data or sensitive information;

  • your implementation or enforcement of identity verification, consent mechanisms, or data retention policies through the Services;

  • your failure to provide required notices or obtain valid consents from end users under applicable data protection laws;

  • content or data submitted, uploaded, or transmitted by your administrators or end users through your organization’s instance of the Services.
     

This indemnification specifically includes any claim made by an individual user of your services or platform (e.g., fans or event attendees) against StageChain arising from your organization’s actions or omissions.
 

StageChain will notify you promptly of any such claim, and you will not settle any such matter without StageChain’s prior written consent if it imposes any obligation or admission of liability. StageChain reserves the right to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate as reasonably requested in such defense.

9. Confidentiality

Each party agrees to treat as confidential and not to disclose to any third party any non-public information disclosed in connection with the use of the Services that is marked as confidential or would reasonably be considered confidential by its nature. This includes technical, commercial, strategic, financial, and operational information disclosed by StageChain or learned by the Customer through trial access. The Customer specifically agrees to maintain the confidentiality of StageChain’s technology, architecture, business plans, codebase structure, and any other proprietary elements encountered through use of the Services.
 

This obligation does not apply to information that is (i) already public through no fault of the receiving party, (ii) independently developed by the receiving party without use of confidential information, or (iii) required by law to be disclosed, provided that reasonable notice is given (if legally permitted) to allow protective measures.
 

Where commercial use of the Services is contemplated, the parties may enter into a separate non-disclosure agreement ("NDA") as part of the service agreement negotiation process.

10. Governing Law and Jurisdiction

These Terms, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them, their subject matter, or formation, shall be governed by and construed in accordance with the laws of the Republic of Cyprus, without regard to its conflict of law principles.
 

Before initiating any formal legal action, each party agrees to attempt in good faith to resolve any dispute related to these Terms by contacting the other party and allowing at least thirty (30) days for informal resolution.
 

You agree that the courts of the Republic of Cyprus shall have exclusive jurisdiction to resolve any dispute or claim arising out of or in connection with these Terms or the use of the Services. You waive any objection to such courts on the grounds of venue, forum non conveniens, or any similar doctrine.

11. Termination

You may stop using the Services at any time. If you wish to terminate your account or stop accessing the Services, you may do so by ceasing all use and, where applicable, requesting account deletion through available administrative tools or by contacting us.
 

StageChain may suspend or terminate your access to the Services at any time if we reasonably believe that you have violated these Terms, pose a security or legal risk, or your use of the Services may cause harm to StageChain, other users, or third parties. We may also terminate the availability of some or all Services at our discretion.
 

Upon termination, all rights granted to you under these Terms will immediately cease, and you must stop all use of the Services. Termination will not relieve you of any obligations incurred prior to the effective date, including any payment obligations.
 

The provisions of these Terms that by their nature should survive termination will survive, including but not limited to ownership, warranties and disclaimers, limitations of liability, indemnification, and governing law.

12. General Terms

These Terms govern your access to and use of the StageChain Services on a free, non-commercial, or trial basis. Any commercial use of the Services, including paid plans, integrations, or production deployments, must be governed by a separate written agreement between you and StageChain.

No waiver of any provision will be effective unless in writing. If any part of these Terms is held to be invalid or unenforceable, the remainder will remain in full force and effect.

You may not assign or transfer your rights or obligations under these Terms without prior written consent from StageChain. StageChain may assign or transfer these Terms freely.

Nothing in these Terms creates a partnership, joint venture, or agency relationship. Each party remains an independent entity.

If the Services link to or integrate with third-party platforms or tools, your use of those third-party services is governed by their terms and policies. StageChain is not responsible for the actions or performance of third-party providers.

StageChain may modify these Terms from time to time. If material changes are made, StageChain will provide reasonable notice, such as through an update on the website or via email. Continued use of the Services following any update constitutes acceptance of the revised Terms.
